ATRUEBRAND INNOVATION SOLUTIONS PRIVATE LIMITED, FL NO-401, Gulhomar Symphony PH-II SR NO B2/4, Kharadi, Pune, Maharashtra 411014, India (“Company”, “we”, “us”, “our”) operates the website www.atruebrand.com and the mobile application “AtrueCampus” (together, the “Platform”). These Terms & Conditions (“Terms”) govern your access to and use of the Platform.

By accessing or using the Platform, clicking “I agree”, or creating an account, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1) Eligibility & Accounts

• The Platform is provided to institutions (schools/colleges/universities) (“Institution”) and their authorized users (administrators, staff, students, and, where enabled, parents/guardians).
• The Institution is responsible for account creation/approval and role-based access. You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.
• Parents/guardians may be granted access to a student’s information when such access is enabled or approved by the Institution and linked to the student’s record.

2) Roles & Relationship

• For most education records, the Institution determines the purposes and means of processing (controller/decision-maker). The Company provides the Platform as a service provider/processor, except where we determine purposes independently (security, fraud prevention, legal compliance).
• The Institution is responsible for lawfully collecting, uploading, using, and sharing data on the Platform and for obtaining/maintaining any required consents, including parental/guardian consent for minors where applicable.

3) License & Use of the Platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for legitimate educational/administrative purposes authorized by your Institution.

4) Prohibited Conduct

• Accessing or using the Platform beyond your assigned role or authorization.
• Reverse engineering, scraping, automated data extraction, or interfering with security features.
• Uploading unlawful, infringing, harmful, or misleading content; violating others’ privacy or intellectual property.
• Sharing Platform data outside legitimate academic/administrative purposes or without a lawful basis and necessary permissions.
• Attempting to gain unauthorized access to accounts, systems, or data.

5) Institution Responsibilities

• Configure roles and permissions on a least-privilege basis; promptly revoke access upon role changes.
• Ensure lawful basis and consents for student data, especially minors; inform users of Institution-specific policies (e.g., retention, conduct, communications).
• Provide accurate information; refrain from uploading content that infringes rights or violates law.

6) User Content & Intellectual Property

• “User Content” means content you or your Institution uploads (text, files, images, PDFs, templates, letterheads, signatures, etc.). You/your Institution retain ownership of User Content.
• You grant the Company a limited license to host, process, transmit, and display User Content solely to operate and improve the Platform and provide support.
• The Platform, software, UI, workflows, and all related intellectual property are owned by the Company or its licensors. No rights are granted except as expressly stated in these Terms.

7) Third-Party Services

The Platform may integrate third-party services (e.g., hosting, analytics, crash reporting, messaging, identity, payments). Your use of such services is subject to their terms and privacy policies. We are not responsible for third-party services beyond our reasonable control.

8) Fees & Payments

• Some features may be paid. Fees, billing intervals, taxes, and refund eligibility are governed by the Institution’s order form or separate agreement with us.
• Payment processing may be performed by third-party gateways. We do not store full card/bank credentials on our servers.

9) Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, disclose, and protect data.

10) Children, Students & Parents / Guardians

The Platform supports institutions of all levels including pre-primary, primary, secondary, higher-secondary, and higher-education institutions. Parent/guardian access may be provided when enabled or approved by the Institution. The Institution is responsible for controlling account creation, assigning access roles, and obtaining & managing required parental/guardian consent for minors where applicable.

11) Service Availability & Support

• We use reasonable efforts to keep the Platform available, secure, and reliable. From time to time, maintenance, updates, or outages may occur.
• Support is available at support@atruebrand.com during Mon–Fri, 10:00–18:00 IST (excluding public holidays).

12) Warranties & Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee uninterrupted or error-free operation or that the Platform will meet your requirements.

13) Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company or its affiliates, directors, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, profits, goodwill) arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Our aggregate liability for all claims in connection with the Platform shall not exceed the total fees paid by the Institution to us for the twelve (12) months immediately preceding the event giving rise to the claim, or INR 25,000, whichever is higher.

14) Indemnity

You and/or the Institution (as applicable) agree to indemnify, defend, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) User Content; (c) misuse of the Platform; or (d) violation of law or third-party rights.

15) Suspension & Termination

• We may suspend or terminate access immediately for material breach, suspected abuse, security risk, legal request, non-payment (for paid plans), or discontinuance of the Platform.
• Upon termination, your right to use the Platform ceases. Certain provisions survive termination (IP ownership, disclaimers, limitations of liability, indemnity, governing law, dispute resolution).

16) Changes to the Terms

We may update these Terms from time to time. The “Effective Date” indicates the latest version. If you continue using the Platform after changes take effect, you agree to the updated Terms.

17) Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.
• Subject to the arbitration clause below, the courts at Pune, Maharashtra shall have exclusive jurisdiction.
• Arbitration: Any dispute shall be referred to a sole arbitrator appointed mutually by the parties in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Pune, Maharashtra. Proceedings shall be in English. Each party bears its own costs; tribunal fees as determined by the arbitrator.

18) Notices & Communications

We may send you notices via email, in-app messages, or by posting on the Platform. You consent to receive electronic communications from us for transactional, service, and legal purposes. For legal notices to us, email support@atruebrand.com and send a hard copy to the postal address above.

19) Export, Sanctions & Compliance

You represent that you are not located in a sanctioned country or on any restricted party list and that your use of the Platform complies with applicable export control and sanctions laws.

20) Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control (including acts of God, natural disasters, Internet or utility failures, labor disputes, war, pandemics, governmental actions).

21) Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of such right.

App Stores: If you downloaded the app from Google Play or other app stores, you acknowledge that the store provider is not responsible for support, maintenance, or legal claims, and that your use must also comply with the store’s terms.

Institution Agreements: If these Terms conflict with a signed agreement between the Institution and the Company, the signed agreement prevails to the extent of conflict.
